Terms of service
The terms that apply when you use this website or engage Renlex Pty Ltd, read together with the Australian Consumer Law.
Nothing in these terms takes away rights you have under the Australian Consumer Law that cannot lawfully be excluded.
1. About these terms
These terms are between you and Renlex Pty Ltd (ABN 82 703 579 542, ACN 703 579 542) ("Renlex", "we", "us"). They apply to your use of renlextec.online and to any services we provide. If a written scope or quote we give you conflicts with these terms, the written scope prevails for that engagement, except where these terms protect your rights under the Australian Consumer Law.
2. Using this website
The content on this website is general information about our services. It is not professional advice for your particular situation. You must not use the website in a way that is unlawful or that interferes with its operation.
3. Our services
We provide business consulting, administration and project support. Each engagement is described in a written scope setting out the work, deliverables, timing and fee. An engagement begins when you accept that scope in writing, including by email. Changes to the scope must be agreed in writing by both parties.
4. Fees and payment
Fees are as set out in the accepted scope or quote. Unless the scope says otherwise, we invoice on completion or at agreed milestones, and invoices are payable within the period stated on the invoice. Where GST applies, it will be shown on the invoice.
5. Australian Consumer Law
Our services come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)). These include guarantees that services will be provided with due care and skill, will be reasonably fit for any purpose you make known to us, and will be supplied within a reasonable time where no time is agreed.
If we fail to meet a consumer guarantee, you are entitled to the remedies the Australian Consumer Law provides, which may include having the services supplied again or a refund. For a major failure, you may be entitled to cancel the services and receive a refund for the unused portion, or compensation for any reduction in value.
6. Your responsibilities
You agree to give us accurate information and timely access to the people, documents and systems we reasonably need to do the work. You are responsible for decisions you make based on our work, and for making sure you have the right to share any information you provide to us, including other people's personal information.
7. Intellectual property
The content and design of this website belong to Renlex Pty Ltd. You may view and print pages for personal reference but must not reproduce them for commercial use without our written permission.
Once you have paid for an engagement in full, ownership of the documents and materials we create specifically for you passes to you. We keep ownership of our general methods, templates and know-how, and grant you a non-exclusive licence to use any of them included in your deliverables for your own business.
8. Confidentiality
We keep your confidential information confidential and use it only to deliver the agreed work, unless you consent to its disclosure or the law requires it. We handle personal information as described in our privacy policy.
9. Limitation of liability
To the extent permitted by law, including the Australian Consumer Law:
- we exclude all warranties and conditions not expressly stated in these terms or in an accepted scope;
- where our liability for failing to meet a consumer guarantee can be limited, it is limited to supplying the services again or paying the cost of having them supplied again;
- we are not liable for indirect or consequential loss, including loss of profit, revenue or data;
- our total liability for any engagement is limited to the fees you paid for that engagement.
These limits do not apply where they are prohibited by law, or to liability arising from our fraud or wilful misconduct.
10. Termination
Either party may end an engagement by giving written notice. If the engagement ends, you pay for work properly completed up to the date of termination, and we hand over all completed materials and any information you provided to us. Either party may end an engagement immediately if the other seriously breaches these terms and does not fix the breach within 14 days of written notice. Clauses 7, 8 and 9 continue after an engagement ends.
11. Governing law
These terms are governed by the laws of Victoria, Australia. Each party submits to the non-exclusive jurisdiction of the courts of Victoria and the courts that can hear appeals from them.
12. Changes to these terms
We may update these terms from time to time. Changes apply to engagements accepted after the revised terms are published on this page. They do not change an engagement you have already accepted unless you agree in writing.
